Terms of Service
Effective October 15, 2026
These Terms of Service (the "Terms") are an agreement between Driven 24/7 LLC, doing business as Axion PM ("Axion PM," "we," "us"), and the company or other organization that signs up for Axion PM ("Customer," "you"). They cover your use of the Axion PM website and software (the "Service"). By creating an account, clicking to accept, or using the Service, you agree to these Terms. If you accept on behalf of a company, you confirm you have authority to bind it.
1. Who can use the Service
The Service is for businesses, such as general contractors and the people they work with on projects. You must be at least 18 years old to use it. Each person needs their own login; logins may not be shared.
2. Your account and your users
- Your account holder (the "owner") and administrators control your company's account, including who is invited and what they can see.
- You may invite your employees ("staff") and outside people such as subcontractors, architects, engineers and owners ("collaborators") to specific projects. You decide which tools and information each collaborator can access, and you are responsible for those choices.
- You are responsible for everything done under your account and for keeping logins secure. Tell us right away if you suspect misuse.
- If you join another company's project as a collaborator, that company controls the project and its information, and these Terms apply to your use.
3. Your data
"Customer Data" means the information, files, drawings, photos and other content you and your users put into the Service. You own your Customer Data. You give us permission to host, store, copy, process, transmit and display it only as needed to provide, secure and support the Service, and as you direct (for example, sending notification emails or sharing a project with a collaborator you invited). We do not sell Customer Data and do not use it for advertising.
You are responsible for having the rights to the content you upload, including drawings, photos of people or property, and documents from others on your projects. Our handling of personal information is described in our Privacy Policy.
4. Acceptable use
You agree not to:
- break the law, infringe anyone's rights, or upload content you have no right to share;
- upload malware, or try to access accounts, projects or data that aren't yours;
- probe, scan or test the Service's security, or disrupt or overload it;
- use the Service to send spam, including through invitations or notifications;
- copy, resell or reverse engineer the Service, or use it to build a competing product.
We may suspend access that we reasonably believe breaks these rules or puts the Service or other customers at risk.
5. Free trial
We may offer a free trial. The trial ends on the date shown in your account, unless we extend it. To keep using the Service after the trial, you need a paid subscription. If you don't subscribe, your account will be handled as described in section 8.
6. Fees and payment
- Subscription fees are as shown at sign-up or in your order. They are billed in advance for each billing period (for example, monthly) and renew automatically until cancelled.
- Payments are processed by our payment provider. You authorize us and that provider to charge your payment method for fees and any applicable taxes.
- If a payment fails, we will let you know. If it is still unpaid 14 days later, we may limit your account to read-only access until it is paid.
- We may change prices with at least 30 days' notice. New prices apply from your next billing period.
- Fees are non-refundable except where the law requires otherwise or we say so in writing.
7. Construction information is your responsibility
Axion PM is a tool for organizing project information. It does not provide engineering, architectural, legal, accounting, tax or insurance advice. Calculations the Service makes for you (such as budgets, forecasts, pay applications, retainage, change orders and schedule dates) are only as accurate as the information entered. You are responsible for reviewing and confirming documents before you rely on, sign, send or submit them, and for meeting your contract, lien, licensing, safety and other legal requirements.
8. Cancelling and your data afterwards
- You can cancel at any time. Cancellation takes effect at the end of your current billing period.
- After your subscription ends (or a trial ends without a subscription), you have 60 days to sign in and export your Customer Data, using the PDF, Excel and file download features. Contact us if you need help.
- After those 60 days, we delete your Customer Data from the Service. Copies in our backups are removed as those backups expire, normally within 7 days after that.
- We may keep limited records where the law requires it (for example, billing records).
9. Ending these Terms
Either side may end these Terms if the other materially breaks them and does not fix the problem within 30 days of written notice. We may suspend or end access immediately for serious misuse, non-payment as described above, or where the law requires it. Sections that by their nature should continue (such as ownership, payment owed, disclaimers, limits of liability and indemnity) continue after the Terms end.
10. Changes to the Service and these Terms
We improve the Service over time and may add, change or remove features. We will not make changes that materially reduce the core features of your paid plan during a billing period you have already paid for. We may update these Terms; if a change is material, we will tell you by email or in the Service at least 30 days before it takes effect. Continuing to use the Service after that means you accept the updated Terms.
11. Other services we rely on
The Service runs on third-party providers, including hosting and database, email delivery and payment processing providers, and it uses public government services for weather and address lookups. Their availability is outside our full control. We choose reputable providers and require them to protect information appropriately.
12. Our property and feedback
The Service, including its software, design and content (other than Customer Data), belongs to Driven 24/7 LLC. We give you a limited, non-exclusive, non-transferable right to use it during your subscription under these Terms. If you send us suggestions or feedback, we may use them without any obligation to you.
13. Confidentiality
Each side will keep the other's non-public business information confidential and use it only for purposes of these Terms, except where it is already public, was independently developed, was rightfully received from someone else, or must be disclosed by law.
14. Disclaimers
We work to keep the Service available, secure and accurate, but THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE." TO THE FULLEST EXTENT ALLOWED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT, AND WE DO NOT PROMISE THE SERVICE WILL BE UNINTERRUPTED OR ERROR-FREE.
15. Limits of liability
TO THE FULLEST EXTENT ALLOWED BY LAW: (a) NEITHER SIDE IS LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, REVENUE, DATA OR BUSINESS OPPORTUNITIES, ARISING FROM THESE TERMS OR THE SERVICE; AND (b) EACH SIDE'S TOTAL LIABILITY FOR ALL CLAIMS RELATED TO THESE TERMS OR THE SERVICE IS LIMITED TO THE AMOUNTS YOU PAID US FOR THE SERVICE IN THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM. These limits do not apply to your payment obligations or to either side's indemnity obligations under section 16.
16. Indemnity
You will defend and hold Driven 24/7 LLC harmless from claims by third parties arising from your Customer Data, your use of the Service in breach of these Terms, or your projects, and pay resulting costs and damages. We will defend you from third-party claims that the Service itself (not Customer Data) infringes their intellectual property, and pay resulting costs and damages, provided you notify us promptly and let us control the defense.
17. Governing law
These Terms are governed by the laws of the State of South Carolina, without regard to its conflict-of-laws rules. Any dispute will be brought only in the state or federal courts located in South Carolina, and both sides consent to their jurisdiction.
18. General
- These Terms, together with any order you sign with us, are the whole agreement about the Service.
- If any part is found unenforceable, the rest stays in effect.
- Not enforcing a right is not a waiver of it.
- You may not transfer these Terms without our consent, except to a successor of your business. We may transfer them to a successor of ours.
- Neither side is responsible for delays caused by events beyond its reasonable control.
- We may send notices to the email address on your account. Send notices to us at support@axionpm.co.
